1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Eezaly," "we," "us," or "our" refers to Eezaly Ltd, the provider of the Service.
- "Service" refers to the Eezaly platform, including all electronic signature, document management, and related services provided through eezaly.com.
- "User," "you," or "your" refers to any person or legal entity that accesses or uses the Service.
- "Account" refers to the registered user account created to access certain features of the Service.
- "Documents" refers to any PDF files uploaded, processed, signed, or stored through the Service.
- "Electronic Signature" or "e-signature" refers to any electronic representation of a signature created through the Service.
- "Signatory" refers to any person designated to sign a Document.
- "Subscription" refers to the paid service tier (Freemium or Premium) selected by the User.
- "Content" refers to any information, data, text, software, graphics, or other materials uploaded or generated through the Service.

Eezaly operates in compliance with UK laws and regulations, including but not limited to the Electronic Communications Act 2000, UK GDPR, and the Data Protection Act 2018.
3. Use of Service
3.1 Account Registration & Eligibility
You must be at least 18 years old to create an account and use Eezaly. By registering, you confirm that you have the legal capacity to enter into this agreement. You agree to provide accurate, current, and complete information during registration and to update this information as needed.
3.2 Subscription Tiers
Eezaly offers three service tiers:
- Anonymous Users: Limited to 3 documents for the lifetime of use, with temporary storage and no account required.
- Freemium Users: Free registered accounts with up to 5 documents per year and temporary document storage.
- Premium Users: Paid subscription with unlimited documents, permanent storage (whilst subscription is active), and advanced features.
All paid subscriptions are monthly rolling subscriptions that can be cancelled at any time without penalty.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other security breach.
3.4 Acceptable Use
You agree not to use the Service to:
- Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Attempt to gain unauthorised access to our systems or networks
- Interfere with or disrupt the Service or servers
- Use the Service for any fraudulent or malicious purpose
- Distribute malware, viruses, or other harmful code
- Engage in any form of automated data collection or scraping
3.5 User Responsibilities
You are solely responsible for:
- The content and legality of all Documents you upload to the Service
- Ensuring you have the right to use and share any Documents uploaded
- Obtaining necessary consents from Signatories before requesting their signatures
- Complying with all applicable laws regarding electronic signatures and document execution in your jurisdiction
- Maintaining backup copies of important Documents
4. Document Storage & Retention
4.1 Storage Locations
All Documents are securely stored using Azure Blob Storage with encryption at rest. Document metadata and user information are stored in Azure SQL Database. We implement industry-standard security measures to protect your data.
4.2 Retention Policies by Tier
- Anonymous Users: Documents are stored temporarily and automatically deleted after a limited period. We recommend downloading your completed documents immediately.
- Freemium Users: Documents are stored temporarily with automatic deletion after expiration. You will receive email notifications before deletion.
- Premium Users: Documents remain permanently stored in your account whilst your subscription is active. You have unlimited access to all your documents through your dashboard.
4.3 Account Cancellation & Data Deletion
If you cancel your Premium subscription:
- Your account will remain accessible for 30 days with read-only access to your documents
- You will receive multiple email reminders to download your documents before permanent deletion
- After 30 days, all documents and associated data will be permanently and irreversibly deleted
- You may request immediate deletion of your account and all data at any time by contacting us
4.4 Data Backup & Recovery
Whilst we implement robust backup systems for disaster recovery, you are responsible for maintaining your own backup copies of important Documents. Eezaly is not liable for any data loss, and we strongly recommend downloading and securely storing copies of all critical documents.
4.5 Data Export
You may export and download your Documents at any time through your account dashboard. All documents are available in their original PDF format with complete signature verification data.
5. Electronic Signatures & Documents
5.1 Legal Validity of Electronic Signatures
Eezaly provides electronic signature services that are designed to comply with applicable electronic signature laws, including:
- UK: Electronic Communications Act 2000 and UK eIDAS (retained EU law)
- EU: eIDAS Regulation (EU) No 910/2014
- USA: Electronic Signatures in Global and National Commerce Act (ESIGN Act) and state laws including UETA
- Other Jurisdictions: Various international electronic signature frameworks
5.2 Types of Electronic Signatures
Eezaly provides Simple Electronic Signatures (SES) that include:
- Typed signatures with the signatory's name
- Drawn signatures using a mouse or touchscreen
- Uploaded signature images
- Click-to-sign consent mechanisms
All signatures include verification data such as IP address, timestamp, email address, and unique signature identifiers for audit trail purposes.
5.3 User Responsibilities Regarding Legal Compliance
Whilst Eezaly facilitates electronic signatures, you are solely responsible for:
- Determining whether electronic signatures are legally acceptable for your specific document type and jurisdiction
- Ensuring all parties have consented to conduct business electronically
- Complying with any specific requirements for your industry (e.g., real estate, financial services, healthcare)
- Verifying that your documents meet any notarisation, witnessing, or other formality requirements
- Retaining appropriate records as required by law
5.4 Disclaimer Regarding Legal Enforceability
Eezaly does not provide legal advice and makes no warranties regarding the legal validity, enforceability, or admissibility of electronically signed documents in any particular jurisdiction or for any specific purpose. You should consult with legal counsel to determine whether electronic signatures are appropriate for your use case.
5.5 Document Processing
Eezaly accepts PDF documents for electronic signature. We do not modify the content of your documents beyond adding signature images, verification data, and signature-related metadata. You are responsible for ensuring documents are properly formatted and contain all necessary legal language before uploading.
5.6 Signature Verification & Audit Trails
Each signed document includes a comprehensive audit trail showing:
- Names and email addresses of all parties
- Dates and times of all signing events (in UTC)
- IP addresses of signatories
- Unique signature identifiers and verification codes
- Document hash for integrity verification
This information is embedded in the signed PDF and is available for verification purposes.
6. Fees & Payments
6.1 Subscription Pricing
Eezaly offers the following subscription tiers:
- Anonymous: Free, limited to 3 documents lifetime with temporary storage
- Freemium: Free registered account with up to 5 documents per year and temporary storage
- Premium: Paid monthly subscription with unlimited documents and permanent storage (pricing available on our website)
All subscription prices are displayed in British Pounds (GBP) and may be subject to VAT or other applicable taxes based on your location.
6.2 Payment Processing
All payments are securely processed through Stripe, a third-party payment processor. By subscribing to a Premium plan, you authorise Eezaly to charge your payment method on a recurring monthly basis. We do not store your full credit card details; all payment information is handled securely by Stripe in compliance with PCI-DSS standards.
6.3 Billing Cycle & Automatic Renewal
Premium subscriptions operate on a monthly rolling basis:
- You will be charged on the same day each month as your initial subscription date
- Subscriptions automatically renew each month unless cancelled
- You will receive email notifications before each billing cycle
- You are responsible for maintaining valid payment information
6.4 Cancellation Policy
You may cancel your Premium subscription at any time:
- Cancellations can be processed through your account settings
- Upon cancellation, you will continue to have access until the end of your current billing period
- No charges will be made after cancellation
- After the billing period ends, your account will revert to read-only mode for 30 days before document deletion
6.5 Refunds
Due to the nature of digital services and immediate access provided:
- All payments are generally non-refundable
- Refunds may be considered on a case-by-case basis for technical issues preventing service use
- To request a refund, contact us at info@eezaly.com with your order details and reason for the request
- Any refund granted will be at our sole discretion
6.6 Price Changes
We reserve the right to modify our pricing at any time. Any price changes will:
- Be communicated to existing subscribers at least 30 days in advance
- Not affect your current billing cycle
- Take effect on your next renewal date
- Give you the option to cancel before the new pricing takes effect
6.7 Failed Payments
If a payment fails:
- We will attempt to process payment again within a few days
- You will receive email notifications about failed payment attempts
- If payment continues to fail, your subscription may be suspended or cancelled
- You remain responsible for any outstanding charges
7. Intellectual Property
7.1 Eezaly's Intellectual Property
All rights, title, and interest in and to the Service, including all software, technology, designs, graphics, user interface, trademarks, logos, and other intellectual property ("Eezaly IP"), are and will remain the exclusive property of Eezaly Ltd. You may not:
- Copy, modify, distribute, sell, or lease any part of our Service or software
- Reverse engineer, decompile, or attempt to extract the source code of our software
- Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.) from the Service
- Use Eezaly's trademarks, logos, or branding without prior written permission
7.2 Your Content Ownership
You retain all ownership rights to Documents and Content you upload to the Service. Eezaly does not claim any ownership over your Documents. You are solely responsible for your Content and the consequences of uploading and publishing it.
7.3 Licence to Eezaly
By uploading Documents to the Service, you grant Eezaly a limited, non-exclusive, worldwide, royalty-free licence to:
- Store, process, and transmit your Documents solely for the purpose of providing the Service
- Make copies for backup, redundancy, and disaster recovery purposes
- Display Documents to you and designated Signatories through the Service interface
- Perform technical operations such as format conversion, compression, and encryption
This licence terminates when you delete your Documents or close your account, except for copies retained in backups which will be deleted in accordance with our retention policies.
7.4 Representations and Warranties
By uploading Content, you represent and warrant that:
- You own or have the necessary rights, licences, and permissions to upload and share the Content
- Your Content does not infringe any intellectual property rights, privacy rights, or other rights of any third party
- Your Content complies with all applicable laws and regulations
- You have obtained all necessary consents from individuals whose personal information appears in the Documents
8. Privacy & Data Protection
8.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal data. By using the Service, you agree to the data practices described in our Privacy Policy.
8.2 UK GDPR & Data Protection
Eezaly complies with UK GDPR and the Data Protection Act 2018. We process personal data lawfully, fairly, and transparently. As a user, you have the following rights under UK GDPR:
- Right to access your personal data
- Right to rectification of inaccurate data
- Right to erasure ("right to be forgotten")
- Right to restrict processing
- Right to data portability
- Right to object to processing
- Rights related to automated decision-making and profiling

8.3 Data Security
We implement appropriate technical and organisational security measures to protect your data, including:
- HTTPS/TLS encryption for all data in transit
- AES-256 encryption for data at rest
- Secure password hashing using PBKDF2 with HMAC-SHA256
- Regular security audits and monitoring
- Access controls and authentication mechanisms
- Secure cloud infrastructure through Microsoft Azure
8.4 Data Breach Notification
In the event of a data breach that poses a risk to your rights and freedoms, we will notify you and the Information Commissioner's Office (ICO) within 72 hours of becoming aware of the breach, in compliance with UK GDPR requirements.
8.5 Third-Party Services
We use trusted third-party services to provide the Service:
- Mailgun (EU region): Email delivery services
- Stripe: Payment processing (PCI-DSS compliant)
- Microsoft Azure: Cloud hosting and storage
- Google Analytics: Website analytics (anonymised)
These third parties have their own privacy policies and data processing agreements. We ensure all third-party processors meet our data protection standards.
8.6 No Sale of Data
We will never sell, rent, or trade your personal data or Documents to third parties for marketing purposes. Your data is used solely to provide and improve the Service.
9. Disclaimers & Limitations of Liability
9.1 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, EEZALY DISCLAIMS ALL WARRANTIES, INCLUDING:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of any content
- Warranties regarding the legal validity, enforceability, or admissibility of electronically signed documents
9.2 No Legal Advice
Eezaly does not provide legal advice. We do not warrant that electronic signatures created through the Service will be legally valid, enforceable, or admissible in any particular jurisdiction or for any specific purpose. You should consult with qualified legal counsel regarding your specific use case and legal requirements.
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EEZALY SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Business interruption or loss of business opportunity
- Costs of obtaining substitute services
- Damages arising from unauthorised access to or alteration of your transmissions or data
WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF EEZALY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.4 Cap on Liability
In no event shall Eezaly's total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of: (a) the amount you paid to Eezaly in the twelve (12) months preceding the claim; or (b) £100 GBP.
9.5 User Responsibility for Documents
You acknowledge and agree that:
- You are solely responsible for the content, legality, and consequences of Documents you create, upload, or sign
- Eezaly has no obligation to review Documents for legal compliance
- Eezaly is not responsible for disputes arising from Documents or electronic signatures
- You should maintain independent backup copies of all important Documents
9.6 Third-Party Services
Eezaly is not liable for any failures, errors, or issues caused by third-party services including Mailgun, Stripe, Microsoft Azure, or any other service provider. Your use of third-party services is subject to their respective terms and privacy policies.
9.7 Indemnification
You agree to indemnify, defend, and hold harmless Eezaly, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable solicitors' fees) arising out of or relating to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Content you upload or Documents you create using the Service
- Any breach of your representations and warranties
9.8 Force Majeure
Eezaly shall not be liable for any failure or delay in performing obligations under these Terms due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, government actions, internet or telecommunications failures, or cyber attacks.
10. Termination
10.1 Termination by You
You may stop using the Service and close your account at any time by:
- Cancelling your subscription through your account settings
- Contacting us at info@eezaly.com to request account deletion
- Simply ceasing to use the Service (for anonymous and freemium users)
Upon account closure, you will have 30 days to download your Documents before permanent deletion.
10.2 Termination by Eezaly
We reserve the right to suspend, restrict, or terminate your access to the Service at any time, with or without notice, if:
- You violate these Terms or any applicable laws
- Your use of the Service poses a security risk or threatens the integrity of the Service
- You engage in fraudulent, abusive, or illegal activities
- Your account has been inactive for an extended period
- We are required to do so by law or court order
- We decide to discontinue the Service (with reasonable notice)
10.3 Effect of Termination
Upon termination of your account:
- Your right to access and use the Service will immediately cease
- We will delete your Documents and personal data according to our retention policies (30 days for Premium users)
- You remain responsible for any fees or charges incurred before termination
- Provisions of these Terms that by their nature should survive termination will continue to apply (including disclaimers, limitations of liability, and dispute resolution)
10.4 No Refunds Upon Termination
If we terminate your account due to breach of these Terms, you will not be entitled to any refund of fees paid. Voluntary cancellation follows our standard refund policy (Section 6.5).
11. Changes to Terms
11.1 Right to Modify
Eezaly reserves the right to modify, update, or replace these Terms at any time. We may make changes for various reasons, including:
- Changes in applicable laws or regulations
- New features or functionality
- Security or privacy enhancements
- Clarifications or corrections
11.2 Notice of Changes
When we make material changes to these Terms, we will:
- Update the "Last Updated" date at the top of this page
- Notify you via email (for registered users) at least 30 days before the changes take effect
- Display a prominent notice on the website
11.3 Acceptance of Changes
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must stop using the Service and may cancel your account.
11.4 Review Regularly
We encourage you to review these Terms periodically to stay informed of any updates. It is your responsibility to check for changes.
12. Governing Law & Disputes
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12.2 Jurisdiction
Subject to the arbitration provisions below, the courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or the Service.
12.3 Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service:
- Informal Resolution: We encourage you to first contact us at info@eezaly.com to seek an informal resolution. We commit to working in good faith to resolve disputes amicably.
- Mediation: If informal resolution fails, both parties agree to attempt mediation before pursuing litigation.
- Litigation: If mediation is unsuccessful, disputes shall be resolved through the courts of England and Wales.
12.4 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
12.5 Time Limitation
Any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred.
